• They do not use the platform for any prohibited purposes or that violate laws, customs, or the rights of third parties.

By using the platform, you acknowledge and warrant that you comply with these terms, that all information you provide is accurate and correct, and that you are solely responsible for all activities that occur through your account.

Live Broadcasting

When you use the live streaming service via the “Al-Hawa Najd Platform,” you acknowledge and warrant that:

You have all the necessary rights and licenses to broadcast and distribute the content you provide through the platform worldwide, including, but not limited to: the rights to use music owned by artists or production and recording companies; broadcast videos, films, or any copyrighted content; and obtain public performance licenses and licenses associated with publishers or parties related to intellectual property rights. You agree to comply with all applicable laws, regulations, and rules regarding live streaming content, including:

• Not publishing or broadcasting any content that violates intellectual property rights, privacy, criminal laws, or Al-Hawa Najd's community policies.
• Refraining from displaying any content that is offensive, illegal, or prohibited by local or international regulations.
• You are solely responsible for your live streaming content, which is your legal property, and Al-Hawa Najd bears no obligation or liability for it.
• All dynamic visual and audio effects provided by Al-Hawa Najd within the live streaming services are the exclusive intellectual property of the platform. You may use them only during streaming and in accordance with the platform's terms, without any right to reuse or distribute them outside of this context.
• Digital gifts, interactions, or offers given or received by users during live broadcasts are subject to each user's discretion, and Al-Hawa Najd is not liable for any legal or financial responsibility related to such transactions or their consequences.

Content Ownership and Rights

User Content

When you upload, post, or submit any content through your account on the Al-Hawa Najd platform, you acknowledge and undertake the following:

• You are the legal owner of all intellectual property rights associated with such content, including but not limited to copyright, trademark, and literary and artistic rights, or you have obtained all necessary licenses and authorizations from the respective owners.
• The content you share (including text, images, graphics, videos, music, logos, presentations, etc.) does not infringe the rights of any third party.
• License Granted to the Platform
• Subject to these Terms, you grant Al-Hawa Najd a worldwide, perpetual, non-exclusive, royalty-free, transferable, and sublicensable license to use User Content, including, but not limited to:
• Displaying the Content within the Platform.
• Enabling other users to interact with the Content, subject to your privacy settings.
• Hosting, storing, reproducing, modifying, distributing, publishing, displaying, or creating derivative works from the Content.

You also agree that Al-Hawa Najd reserves the right to use this content for legitimate marketing purposes, including advertising and promoting the Services, unless you withdraw this license in writing.

Infringement and Liability

You are legally responsible for any content you post that violates or infringes the intellectual property rights of others. Al-Hawa Najd reserves the right to remove any content, restrict accounts, or take appropriate legal action upon receiving notice of actual or suspected infringement. In the event of infringement of your rights by third parties on the Platform, Al-Hawa Najd has the right to take appropriate action on your behalf, including litigation or contacting the infringing parties, in accordance with applicable laws.

Platform Content

All materials published by Al-Hawa Najd (including designs, text, logos, effects, code, and illustrations) are the exclusive property of the Platform and are protected by copyright, trademark, and intellectual property laws. They may not be reproduced or used without prior written permission.

Privacy and Data Protection

We collect and use personal data in accordance with our Privacy Policy. By using the Service, you consent to the data collection and use described in that policy.

Account Security

You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur through your account.

Reporting and Enforcement

Users may report any content or activity that they believe violates these Terms through the in-app reporting tools or by contacting us via the official email address.

Disciplinary Measures

Al-Hawa Najd reserves the right to take any of the following actions, without prior notice, in the event of a violation of the Terms:

• Remove or restrict violating content.
• Suspend or terminate your account, temporarily or permanently.
• Prohibit ineligible content from appearing on your "For You" page, including, but not limited to:
• Hate speech.
• Content related to eating disorders or self-harm.
• Dangerous or violent activities.
• Shocking or obscene content.
• Misleading information.
• Gambling, fake interactions, or drug promotion.

Prohibited Uses of the Al-Hawa Najd Platform and Application

We at Al-Hawa Najd are committed to providing a safe and fair environment for all users, and this requires the cooperation of all members of the digital community. By using the Service, you agree to abide by the following rules:

Registration and Lawful Use

• You are not required to disclose your true identity to use Al-Hawa Najd, but you are required to provide accurate and up-to-date information during registration, including contact and other registration information.
• You are prohibited from creating an account in another person's name without their express prior consent.
• Use of the Service is limited to personal and lawful purposes only, and the Platform may not be used for any activity that violates applicable laws or regulations.
• Prohibited Acts
• Users are prohibited from engaging in any of the following:
• Impersonating others or providing false or misleading information.
• Engaging in or promoting any illegal or fraudulent activity, or assisting others in engaging in such activities.
• Violating the Terms of Use or policies associated with the Service, including policies for content, music, images, videos, and other features provided by the Platform.
• Interfering with the normal or intended functioning of the Service, or harming the Platform's servers or systems.
• Attempting to create accounts or collect data in an automated or unauthorized manner, whether using robots, scrapers, or similar means.
• Selling, buying, or transferring an account or part thereof (including a username), or attempting to do so, or using the credentials of others without their permission.

Auditing and Reviewing

In the event of any suspected suspicious activity, such as an attempted sale or transfer of an account, Al-Hawa Najd reserves the right to: Review account usage history, including any unusual login changes. Analyzing data and records associated with the account to ensure compliance with the Terms. Any violation of these policies may result in the account being suspended or permanently terminated without prior notice, and appropriate legal action will be taken if necessary.

Account Abuse and Prohibited Practices

Account Recovery and Illegal Behavior

• If it is proven that an account has been unauthorized (i.e., account theft), we will return it to the original registrant based on the data we have on file.
• If it is determined that the account has been sold or voluntarily transferred by the user, the Al-Hawa Najd Platform will permanently block the account, leaving it unrecoverable.

Illustrative Example:

If a user requests the recovery of their account through the support team, the platform will review the account data and activity history.

If it is determined that a breach or theft has occurred, the account will be returned to its original owner.

If it is determined that the account has been sold or transferred voluntarily, the platform reserves the right to permanently block it without notice.

Privacy and Rights of Others

It is prohibited to publish or share personal or confidential information of third parties without their permission, including any information that violates their privacy or intellectual property rights. Users have the right to report any content they believe violates their intellectual property rights through the communication channels available on the “Contact Us” page.

Ethical and Religious Behavior

You must adhere to religiously and ethically acceptable behavior, and must not violate the customs and values applicable in any jurisdiction inside or outside the Kingdom of Saudi Arabia.

Prohibited Practices

For the purposes of these Terms, the following practices are strictly prohibited:

• Corrupt Practices
  This includes offering or receiving bribes or illicit benefits for the purpose of influencing decisions or actions in an illegal or unethical manner.
• Illicit Sources
  Any funding or funds derived from criminal or illegal activities, such as tax evasion, corruption, or terrorist financing.
• Money Laundering Activities
  These are operations aimed at concealing the sources of illicit funds by transferring them in a manner that appears legal.
• Obstructive Practices
  Such as falsifying evidence, providing false information, or threatening other parties to prevent them from disclosing information related to violations or obstructing an investigation.
• Sanctionable Practices
  Any business dealings with entities or individuals on sanctions lists, including those issued by the Saudi authorities, the US Treasury Department (OFAC), the European Union, or the United Nations.
• Terrorist Financing
  Includes direct or indirect financing of terrorist individuals, groups, or activities.

Additional Content and Violations

Promoting obscene, pornographic, extremist, or content related to terrorism, violence, or hatred is strictly prohibited.

Domain names or URLs may not be used as part of a username without prior written consent from Al-Hawa Najd. In the event of a violation of these policies, we reserve the right to suspend or terminate the account or take appropriate legal action.

Reporting Mechanism

You can report any inappropriate or objectionable behavior or content through the "Contact Us" channels available on the platform.

Permission You Grant Us

By using the Hawa Najd platform and application and agreeing to the Terms of Use, you grant us the necessary licenses and permissions to provide our services to you. You acknowledge and agree to the following:

Content Ownership

We do not claim ownership of any content you publish, share, or broadcast via the platform. All rights to your content remain with you. However, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use such content.

Scope of License

This license includes: hosting, using, copying, modifying, running, publicly displaying, translating, distributing copies of, and creating derivative works from the Content, subject to your privacy and application settings.

You may revoke this license at any time by permanently deleting your account from the Platform. This does not affect our prior uses of the Content under this license prior to revocation.

Account Data and Permission to Use

You grant us permission to use your username, profile picture, and your actions and interactions (such as likes and follows) with Content, including sponsored content, advertisements, and promotions, for the purpose of displaying these interactions within the Platform or in any media related to the Al Hawa Najd Platform. For example, we may display that you have liked a sponsored post without compensation to you. We will only display these interactions to users who have permission to view that content, while respecting your privacy settings. Account Access and Your Responsibility.

You grant us permission to allow any person to access your account using your username, phone number, and password with the same authority granted to you, and you acknowledge that you are solely responsible for any activity that occurs through your account.

You are responsible for maintaining the confidentiality of your login information and are fully responsible for any unauthorized use of your account, whether directly or indirectly, by a third party.

Updates

You agree to allow us to automatically download and install software updates for the Service on your device to improve performance and ensure the best user experience.

Other Rights We Reserve

By using the Hawa Najd Platform and Services, you acknowledge and agree to the following:

Modify Username or User ID

If you have chosen a username or user ID for your account that we believe may: infringe the intellectual property rights of any third party, impersonate another user, or be otherwise inappropriate, we reserve the right to modify, change, or remove it at our sole discretion, without prior notice. Intellectual Property of Our Content

If you use any content protected by Al-Hawa Najd's intellectual property rights within the Service (such as designs, images, videos, sounds, filters, icons, or other content we provide within the Platform), all rights to such content remain reserved to Al-Hawa Najd. This does not grant you any ownership rights to our content, whether incorporated into your content or used as part of your broadcasts or publications.

Trademarks and Logos

You may not use any of our trademarks, logos, trade names, or any similar marks that represent Al-Hawa Najd or its services unless you have obtained our prior written permission or if it is within the scope of authorized use in accordance with our trademark guidelines.

Use of Our Code and Technology

Unless expressly granted permission or under an open source license: You may not modify, disassemble, reverse engineer, create derivative works from, or attempt to extract the source code of any of our Services or Technology.

Removing Content, Disabling, or Terminating Your Account

By using the Al-Hawa Najd Services and agreeing to these Terms of Use, you acknowledge and agree to the following:

Content Removal

We reserve the right to remove any content or information you share, upload, or transmit via the Platform if we determine, in our sole discretion, that such content:

• Violates the Terms of Use or any of our policies, including the Community Guidelines,
• Violates applicable laws or regulations,
• Or if we are required to do so by court order or enforceable legal obligation.

Disable or Terminate Your Account

We may, without prior notice, disable, temporarily suspend, or permanently terminate your account, in whole or in part, in any of the following circumstances:

• If we determine that you have violated the Terms of Use or any of the Platform's policies,
• If you repeatedly violate the intellectual property rights of others,
• If your use of the Platform poses a risk to digital security, harms the reputation of the Platform or its other users,
• If we face potential legal liability as a result of your use.
• Notice and Procedures
• We will make reasonable efforts to notify you if we disable or terminate your account, unless doing so would violate a law or jeopardize public safety or the security of the platform.
• If you believe your account was disabled or terminated in error, or if you wish to request the permanent deletion of your account, you may contact us via the support channels listed in the "Contact Us" section.

Inactive Accounts

• A user's account will be considered inactive if it has not been logged in for sixty (60) consecutive days.
• Al-Hawa Najd Platform reserves the right, at its sole discretion, to delete inactive accounts after 60 days of inactivity, without prior notice.

Once an account is deleted due to inactivity, the user will no longer have the right to request its reinstatement or the return of any of their data or previous content. By using the Al-Hawa Najd Platform, you expressly acknowledge and agree to this Inactive Accounts Policy. Our Agreement and the Effects of Non-Agreement

Your use of the Al-Hawa Najd Platform constitutes your express agreement to abide by these Terms and other relevant Platform policies, including, but not limited to, the Music Guidelines and API Policy.

When you use additional features or services offered by the Platform, such as payment services, you may be required to agree to additional terms and conditions governing those services. These additional terms are an integral part of this Agreement. In the event of a conflict between these Terms and any additional terms, the terms of the specific Service shall prevail and apply.

If any provision of this Agreement is found to be invalid or unenforceable for any reason, this shall not affect the validity or enforceability of the remaining provisions, and all other provisions shall remain in full force and effect.

The failure of the Al-Hawa Najd Platform to enforce any provision of this Agreement shall not constitute a waiver of that or any other right provided for herein, nor shall it be deemed a waiver of any subsequent breach or default. This Agreement may not be modified, waived, or amended except by a written document officially signed by the management of the "Al-Hawa Najd" platform.

The "Al-Hawa Najd" platform reserves all rights not expressly granted to you under this Agreement.

Parties Entitled to Enjoy Rights Under This Agreement

• This Agreement does not create or grant any rights to any third party, unless otherwise expressly stated in the Terms or by a separate written agreement.
• You may not assign any of your rights or transfer your obligations under this Agreement to any other party, whether in whole or in part, without prior written consent from Al-Hawa Najd Platform.
• Al-Hawa Najd Platform reserves the right to transfer or assign its rights and obligations, in whole or in part, to any other party without requiring prior notice or consent from you. This includes, but is not limited to, changes in organizational structure or ownership, such as mergers, acquisitions, or transfers of assets, or under the law.

Liability and Legal Limitations

By using our Service and agreeing to the Terms of Use, you acknowledge and agree to the following:

The Al-Hawa Najd Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We do not guarantee that the Service will be secure, error-free, or available at all times, and we disclaim, to the extent permitted by law, any implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Content and Conduct of Other Users

We are not responsible for what other users post or do, whether on or off the Platform, and we are not responsible for any illegal, harmful, or offensive content that may be shared by other users.

Third-Party Services

We are not responsible for any services, products, or content provided by third parties accessed through our Platform, including links, advertisements, and features provided by others.

Sweepstakes and Contests

If you participate in any sweepstakes initiated by a user or third party within the Platform, you expressly agree to release the Al-Hawa Najd Platform and Application, its employees, directors, agents, partners, and service providers, from any liability, claims, or damages resulting from your participation, receipt of any prize, or your use or misuse of that prize.

The Platform also assumes no liability for incomplete, late, or misdirected entries and reserves the right to modify or terminate any sweepstakes at its sole discretion.

Limitations of Liability

To the maximum extent permitted by law, the Al-Hawa Najd Platform, its affiliates, and their employees, directors, representatives, and agents are not liable for:

• Loss of profits, revenue, reputation, data, or information.
• Indirect, consequential, special, punitive, or incidental damages resulting from your use of or inability to use the Service.
• Any deletion or loss of content or data, including deletion of accounts.
• Any malfunctions, viruses, security breaches, or unauthorized access to your information.
• Personal injury, property damage, delays, interruptions, or system failures.

Legal Application

This limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.

Dispute Resolution and Governing Law

By using the Al-Hawa Najd platform and services, you expressly agree that:

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to conflicts of laws or other jurisdictional principles.

Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including any dispute regarding their validity, interpretation, enforcement, or termination, shall be referred to final and binding arbitration before the Saudi Center for Commercial Arbitration (SCCA).

Arbitration Details

Number of Arbitrators: One.

Location of Arbitration: Riyadh, Kingdom of Saudi Arabia.

Language of Arbitration: Arabic.

The arbitration award shall be final and binding on all parties and may be enforced before any competent court.

Unsolicited Submissions

We always appreciate your feedback, suggestions, and interest in developing the Al-Hawa Najd Services. However, you understand and agree that:

Any ideas, suggestions, comments, or other materials you provide to us, whether at our request or on your own initiative (“Unsolicited Submissions”), may be used by us without restriction.

We are under no obligation to use these materials, compensate you for them, maintain their confidentiality, or acknowledge their source.

By submitting any such materials, you grant the Al Hawa Najd Platform and Application a perpetual, non-exclusive, irrevocable, royalty-free license to use them in any manner we deem appropriate, including, but not limited to, developing and improving our products, services, or content.

Indemnification

You agree to defend, indemnify, and hold harmless the Al Hawa Najd Platform and Application, its parent company, subsidiaries, and their respective officers, directors, employees, agents, partners, and attorneys from any claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to any of the following:

• Your violation of these Terms of Use or any policy or guidelines adopted by the Platform, including the Privacy Policy.
• Your illegal or unauthorized use of the Service, or any third party's use of your account in a manner that violates applicable laws or regulations of any jurisdiction.
• Your provision of inaccurate, false, or incomplete information, or your failure to update such information promptly.
• Any content you post, submit, or transmit through the Platform, including any violation of intellectual property rights, privacy rights, copyrights, or any other third party rights.
• Any claim made by a third party resulting from your actions, omissions, or use of the Service, including through your account.

The "Al-Hawa Najd" Platform and Application reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to fully cooperate with the Platform in the defense of such matter.

Updating the Terms of Use

We may amend these Terms from time to time to reflect changes in our services or policies or due to legal developments. When we make material changes to these Terms, we will provide you with appropriate notice (e.g., through an in-app notification or email) and give you the opportunity to review them before they take effect.

Your continued use of the Al-Hawa Najd Platform and App after the effective date of the changes constitutes your express agreement to be bound by the updated Terms. If you do not agree to the new changes, you can delete your account at any time.
